1. Acceptance of Terms
By accessing our website, booking a consultation, or engaging OffshoreBase services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms apply to all clients, visitors and users of OffshoreBase, operated by Solutionever Technologies.
2. Services Description
OffshoreBase provides offshore team infrastructure services including, but not limited to:
- Dedicated team setup and requirement-based hiring
- Team management and dedicated operations manager support
- Remote and dedicated office infrastructure provisioning
- HR and payroll management services
- IT setup, equipment provisioning and onboarding
- Ongoing operational support and team scaling
Specific service terms, deliverables and timelines will be defined in individual service agreements between OffshoreBase and each client.
3. Client Obligations
As a client of OffshoreBase, you agree to:
- Provide accurate and complete information when engaging our services
- Pay all fees as agreed in your service agreement on time
- Use our services only for lawful business purposes
- Treat all OffshoreBase-managed team members with respect and in compliance with applicable employment laws
- Notify us promptly of any changes that affect your service requirements
- Keep confidential any proprietary information shared by OffshoreBase
4. Payment Terms
Payment terms are specified in individual service agreements. General terms include:
- Monthly operational costs are billed in advance on a monthly cycle
- One-time setup fees are payable upon agreement confirmation
- Late payments may incur interest charges as specified in the service agreement
- All fees are quoted in USD unless otherwise agreed in writing
- Invoices are issued electronically to the email address on file
Pricing displayed on our website is indicative. Final pricing is confirmed in writing through a formal service agreement.
5. Intellectual Property
All work product, deliverables and output created by your dedicated offshore team under your direction belongs to you as the client, as specified in your service agreement.
The OffshoreBase name, logo, website content and proprietary methodologies remain the intellectual property of Solutionever Technologies. You may not reproduce, distribute or create derivative works from our proprietary materials without written consent.
6. Termination
Either party may terminate services in accordance with the notice period specified in the service agreement (typically 30–60 days written notice).
- OffshoreBase may terminate services immediately for material breach, non-payment or unlawful conduct
- Upon termination, all outstanding fees become immediately due
- We will assist with a reasonable handover period to minimise disruption
- Confidentiality obligations survive termination
7. Limitation of Liability
To the maximum extent permitted by applicable law, OffshoreBase and Solutionever Technologies shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of our services.
Our total liability for any claims arising under these terms shall not exceed the total fees paid by you in the three months preceding the claim.
8. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal, India.
